About the Role
What You’ll Be Doing
- Bring an external and independent perspective to strategy, risk and conduct, and hold management to account on behalf of shareholders and stakeholders.
- Provide constructive challenge and strategic guidance, and offer specialist advice to the Board.
- Scrutinise the performance of management and of individual executive directors against agreed goals, and monitor how that performance is reported.
- Act in good faith, honestly and responsibly, and make decisions objectively in what you consider to be the interests of the entity.
- Satisfy the FSA that the board of the Company meets its expectations on composition, competence and fitness and propriety under the VASP Act.
- Provide the physical, resident board presence in Seychelles that the licence and the entity's governance arrangements require.
- Attend board and management meetings in person, and engage with the FSA and the entity's advisers in Seychelles as required.
- Promote the long term sustainable success of the entity, generating value for shareholders and contributing to wider society.
- Establish the entity's purpose, values and strategy, and satisfy the Board that its culture is aligned to them.
- Provide effective, prudent and ethical oversight, act with integrity, lead by example and promote the desired culture.
- Ensure the resources needed to meet the entity's objectives are in place, and measure performance against them.
- Establish and lead within a framework of prudent and effective controls that allows risk to be assessed and managed.
- Ensure effective engagement with shareholders and stakeholders.
- Ensure workforce policies and practices are consistent with the entity's values.
- Satisfy yourself on the integrity of the entity's financial information, its financial controls, and whether its risk management systems are robust and defensible.
- Determine appropriate remuneration for executive directors, and play a leading part in appointing and, where necessary, removing them.
- Contribute to the entity's succession planning.
- Uphold the highest standards of integrity, and support the chairperson in setting the values, behaviours and culture of the boardroom and beyond.
What We Look for in You
- Resident in Seychelles, and currently holding the right to reside and work there.
- Able to satisfy the FSA's fitness and propriety assessment.
- Board level or senior governance experience in a regulated financial services, banking, insurance, fiduciary or corporate services business.
- Working knowledge of anti-money laundering and counter terrorist financing obligations, and of the Seychelles regulatory environment.
- Financial literacy sufficient to interrogate financial statements, controls and risk reporting without support.
- Demonstrable independence of mind, and the willingness to challenge management and record dissent.
- Fluent in English, with excellent communication and stakeholder management abilities.
- Experience of virtual assets, fintech, payments or capital markets.
- Prior regulatory experience.
- Experience chairing an audit, risk or compliance committee.
- Experience of a group structure where much of the operating activity sits outside the licensed entity's jurisdiction, and of the oversight challenge that creates.
- An established local network among Seychelles regulators, professional advisers and the financial services community.
- Play a pivotal role in the governance of a successful virtual asset business.
- Bring independent oversight to a global crypto platform operating at scale across multiple jurisdictions.
- Work alongside an experienced board and a global leadership team in a high-growth industry.
- A defined, time-bounded commitment with genuine influence over strategy, risk and conduct.
